Terms of Service

Overview
These Terms of Service ("Terms") govern the use of services provided by Olatunji Lawal Treasure ("we," "us," or "our") to clients ("you," "your," or "Client") for web development, design, and related digital services. By engaging our services, signing a project agreement, or making a payment to us, you agree to be bound by these Terms.
Scope of Services
We provide web development and related services, which may include:

Website/webapp design and development
02
Website maintenance and support
03
Hosting setup and management
04
E-commerce development
05
Other services as outlined in an individual project proposal or agreement
The specific scope, deliverables, and timeline for each project will be detailed in a separate project proposal, statement of work, or contract ("Project Agreement"), which forms part of these Terms.
Project Workflow

All projects begin with a discovery or planning phase to define scope, requirements, and deliverables.

Work commences only after a signed Project Agreement and receipt of the required deposit (see Section 4).

Clients are entitled to rounds of revisions per project phase, as specified in the Project Agreement. Additional revisions beyond this may incur extra charges.

Clients are responsible for providing timely feedback, content, and approvals. Delays in client response may extend project timelines accordingly.
Payment Terms

A non-refundable deposit of 50% is required before work begins, as outlined in our Refund Policy.

Remaining payments are due according to the milestone or payment schedule specified in the Project Agreement.

Invoices not paid within 7 working days of the due date may incur a late fee of 10% per month and may result in suspension of work.

All fees are exclusive of applicable taxes unless otherwise stated.

Refunds, where applicable, are governed by our separate Refund Policy.
Client Responsibilities
To ensure timely project delivery, the Client agrees to:

Provide accurate project requirements, branding assets, and content (text, images, etc.) in a timely manner

Designate a primary point of contact for approvals and feedback
03
Provide necessary access credentials (hosting, domain registrar, third-party platforms) as needed
04
Review and approve deliverables within the timeframes specified in the Project Agreement
Delays caused by the Client's failure to meet these responsibilities may result in adjusted timelines and are not the responsibility of Olatunji Lawal.
Intellectual Property
01
Upon receipt & confirmation of full payment, the Client will own the final website design and custom code created specifically for their project, excluding any pre-existing tools, frameworks, libraries, or proprietary systems owned by Olatunji Lawal or third parties.

Olatunji Lawal retains the right to use completed projects, including screenshots and descriptions, in our portfolio, marketing materials, and case studies, unless otherwise agreed in writing.

Any third-party assets (stock photos, plugins, fonts, themes) used in the project remain subject to their original licensing terms.

Until payment is made in full, all work product remains the property of Olatunji Lawal.
Third-Party Services & Tools
Our services may involve integration with third-party platforms, including but not limited to hosting providers, payment gateways, content management systems, and plugins. We are not responsible for:

Outages, bugs, or changes made by third-party providers
02
Fees charged directly by third-party services (domain registration, hosting, premium licenses, etc.)
03
Any loss or damage resulting from third-party service limitations
Warranties & Disclaimers

Services are provided on an "as is" and "as available" basis.

We do not guarantee specific business outcomes, including but not limited to search engine rankings, traffic increases, conversion rates, or sales results.

We warrant that services will be performed in a professional manner consistent with industry standards. Any defects in our custom work will be corrected at no additional cost if reported within 7 days of delivery.
04
We make no warranties regarding third-party tools, plugins, or platforms integrated into the project.
Limitation of Liability
To the fullest extent permitted by law:

Olatunji Lawal's total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising from the use of our services or deliverables.

We are not liable for any downtime, data loss, or security breaches occurring on third-party hosting or platforms outside our direct control.
Confidentiality
Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of the project, and not to disclose such information to third parties without prior written consent, except as required by law.
Termination

Either party may terminate the Project Agreement with written notice, subject to the terms outlined in our Refund Policy regarding payments and cancellations.

Upon termination, the Client will be invoiced for all work completed up to the termination date.

Olatunji Lawal reserves the right to suspend or terminate services if payment is not received as agreed, or if the Client engages in abusive, unlawful, or unethical conduct.
Hosting & Maintenance
For ongoing hosting or maintenance retainers:

Services are billed on a recurring basis as specified in the Project Agreement.
02
The Client may cancel future billing cycles with 7 days written notice.
03
We are not responsible for issues arising from changes made to the website by the Client or unauthorized third parties.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Benin City, Edo State.
Dispute Resolution
In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached within 7 days, the matter may be referred to mediation or arbitration before pursuing legal action, as applicable under Nigerian law.
Changes to These Terms
We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.
